Does the desktop license cover logo creation?

Yes! If you are creating logos for a third party or client, just be sure to outline the font before delivering to your client (using “Create Outlines,” etc.).

Does the desktop license cover t-shirt designs and physical products like album art, etc.?

Yes! Pretty much if it can be printed, it’s covered in the desktop license*. If designing for a client or third party, outline the font (using “create outlines” etc.) if delivering vector files of the design. If your client wants a copy of the font files, direct them to purchase their own license.

*Refer to Section 2a of the Desktop EULA below for exceptions.

How do I know how many “Users” I need to purchase for?

A“user” is a single person or a single machine within a single organization. So total the maximum number of devices the Font will be installed onto and purchase the license that covers that number of users.

I want to use a Font on my Youtube Channel or for a brand video. Does that require a Broadcast license? 

No. The Desktop license will cover Vimeo and Youtube (and like streaming sites for personal and brand user uploaded content). Broadcast licenses are for Television, cable TV, feature films, theatrical and cinema releases, and/or internet streaming and on demand content on streaming platforms (including Netflix, HBO Max, Hulu, Disney+, Paramount+, Peacock, and similar platforms).

I want to use a Hoodzpah Font as one of my brand fonts for application in print, decks to email to clients, and on my website. What license do I need?

You’ll need 2 licenses: the desktop license for the print materials and decks for email, and the web license to use the live .woff/.woff2 fonts in your website (via @font-face)

I want to use a font for social media graphics. Which license do I need?

The Desktop license covers this use case.

Font Software End User License Agreement

When you license, download, or access a Hoodzpah Font you agree to use those fonts in the terms outlined here. If you have any Q’s about which license is right for you, reach out.

Hoodzpah, Inc. Font End User Desktop License Agreement

Version 1.2 ————————— August 30, 2021

By downloading and/or installing font software (“Font” or “Fonts”) offered by Hoodzpah, Inc. or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”). If you do not want to enter into this Agreement, do not purchase, access, download, and/or install or otherwise use the Fonts. Outside of the legal usage outlined in this Agreement, do not distribute, sell, rend, lend, give away, or share privately or publicly any modified or unmodified version of the Fonts.

This is a binding Agreement. Licensee is bound by the Agreement and acknowledges that all Use of the Font supplied by Hoodzpah, Inc. is governed by the Agreement.

1. License Grant. Hoodzpah, Inc. grants Licensee perpetual, worldwide, non-exclusive, non-transferable (except as expressly permitted herein) license to:

a. Use the Font to create and distribute graphics, logos, and artwork for display on any surface including computer screens, paper, physical products, or any other surface. The created graphics may be a fixed size (e.g. JPG, PNG, etc.) or a static vector if the Font is outlined (e.g. SVG, EPS, etc. made with a “create outlines” tool).

b. Embed or link the Font in accordance with the rules described in Section 2d, “Document Embedding,” of this EULA.

c. Licensee is not purchasing the copyright to the design or any other part of the Fonts. The copyright lies with its original designer, Hoodzpah, Inc.

2. Requirements and Restrictions:

a. Products: Licensee may not use the Font to create alphabet or letterform products for resale where the product consists of individual letterforms, including rubber stamps, die-cut products, stencil products, or adhesive sticker alphabet products where the likeness of the Font can be reproduced and the end-user of said products can create their own typesetting. An extended license may be available for an additional fee.

Licensee can use Font on products where font is incorporated into words or phrases, for example a t-shirt that says “Howdy” or a sticker that says “Aloha”.

b. Users and Deployment: The maximum number of devices on which the fonts may be installed is the number of Desktop Users selected at the time of purchase and displayed on your email confirmation receipt and/or invoice. A “user” is a single person or a single machine within a single organization. “Within a single organization” means all users of the Font must belong to the the same company or household, and shall not include usage by clients or third parties. Some exclusions apply as described in Section 3 “Provision to third Parties” of this EULA.

c. Document Embedding: If you embed Font in a document (including PDF, Microsoft Word, Microsoft Powerpoint), it must be read-only if sent to recipients.

Documents embedding the Font and created for in-house use or sent to third parties working on behalf of the Licensee as described in Section 3 “Provision to Third Parties” may be editable.

d. Broadcast: The Font may not be used in video content that is broadcast or streamed, where the Font is used to create title cards (movie logos), credits, lower thirds, captions, interstitial graphics, or other graphics where the font is prominently used for text on the screen. More subtle uses of the font in set dressing and prop design are allowed. For example, a fictional logo used on a t-shirt worn by an actor, or on a business sign in the set. 3. Provision to Third Parties: The Licensee may provide the Font to a graphic designer, printer, agent, or independent contractor for temporary use while they work on behalf of the Licensee. These third parties are temporarily treated as licensed users and count towards the number of users in the Invoice. A single user license may temporarily provide the Font to a third party without violating this EULA.

Third party agents working on behalf of the Licensee must only use the Font for Licensee’s project, according to the terms of this EULA. Upon completion of the work, third parties shall remove copies of Font from their devices.

4. Term: This EULA grants a perpetual license for the rights set forth in Section 1, “License Grant”, unless and until the EULA terminates under Section 8, “Termination”.

5. Other Uses: This License does not include the following usages: @font-face embedding, computer applications and games, installable interactive books, software, mobile applications or games, ebooks, product creation websites, website template distribution, and website templates. An additional license can be purchased for these uses. Contact Hoodzpah, Inc. at info@hoodzpahdesign.com.

6 Modifications: Licensee must not modify the Fonts (digital typeface software) under any circumstance. Licensee may convert text into vector paths and edit those vector paths in applications that support the Font files. For example, you cannot edit the .otf or .woff files, but you can outline the font and edit the vector shapes in a program like adobe Illustrator. Licensee may not create derivative fonts based on the Font without prior written consent from Hoodzpah, Inc.

7. Copyright and Intellectual Property: Licensee agrees not to use the Font in any manner that infringes the intellectual property rights of Hoodzpah, Inc. or violates the terms of this EULA. Licensee agrees that the Font is protected by the copyright law and other intellectual and industrial property rights of the United States and its various States, by the copyright law and other intellectual and industrial property rights of other nations, and by international treaties. Licensee agrees not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Font. You agree that Hoodzpah, Inc. owns all right, title and interest in and to the Font, its structure, organization, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights. You agree that the Font, its structure, organization, code, and related files are valuable property of Hoodzpah, Inc. and that any intentional or negligent Use of the Font not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.

8. Termination: This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, Hoodzpah, Inc. may terminate the EULA with 30 days notice. This EULA will terminate automatically 30 days after the issuance of such notice.

9. Marketing: From the moment the use of a license is made in any way public by Licensee, Hoodzpah Inc. is entitled to use your company’s name, as well as other trademarks, and images and videos of the use, for marketing reasons only. If you do not wish to grant Hoodzpah, Inc. this right, you can indicate so by sending an email to info@hoodzpahdesign.com up to 7 calendar days before or after your purchase date.

The Product is provided “as is.” Hoodzpah, Inc. makes no warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Hoodzpah, Inc. shall not be liable for any direct, indirect, consequential, or incidental damages (including damages from loss of business profits, business interruption, loss of business information, and the like) arising out of the use of or inability to use the product.

Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to Licensee.

10. Governing Law

This EULA is governed by the laws of the United States of America and the State of California.

11. Definitions:
“Font” means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font. Font includes upgrades or updates (each of which may be provided to you by Hoodzpah, Inc. in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

12. Waiver. The waiver of one breach or default hereunder shall not constitute the waiver of any subsequent breach or default.

Hoodzpah, Inc. Web Font End User License Agreement

By downloading and/or installing font software (“Font” or “Fonts”) offered by Hoodzpah, Inc. or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”). If you do not want to enter into this Agreement, do not purchase, access, download, and/or install or otherwise use the Fonts. Outside of the legal usage outlined in this Agreement, do not distribute, sell, rend, lend, give away, or share privately or publicly any modified or unmodified version of the Fonts.

This is a binding Agreement. Licensee is bound by the Agreement and acknowledges that all Use of the Font supplied by Hoodzpah, Inc. is governed by the Agreement.

1. License Grant. Hoodzpah, Inc. grants Licensee perpetual, worldwide, non-exclusive, non-transferable (except as expressly permitted herein) license to:

a. link the Web Font to Websites using the @font-face selector in CSS files.

b. Licensee is not purchasing the copyright to the design or any other part of the Fonts. The copyright lies with its original designer, Hoodzpah, Inc.

2. Requirements and Restrictions:

a. Licensee must use the Web Font provided by Hoodzpah, Inc. under this EULA. Licensee may not link to the full, CFF OpenType or TrueType font intended for desktop installation.

b. The total traffic of the Website(s), measured in pageviews per month, may not exceed the number of pageviews selected at the time of purchase and displayed on your email confirmation receipt and/or invoice.

c. Web Font may only be installed on Websites that the Licensee owns or controls.

d. Web Fonts may be embedded by Licensee in reports generated by the Website(s), provided that the reports are not sold by Licensee for profit.

e. Web Fonts may not be used to create or save raster or vector images.

3. Provision to Third Parties: The Licensee may provide the Font to a graphic designer, developer, agent, or independent contractor for temporary use while they work on behalf of the Licensee. These third parties are temporarily treated as licensed users and count towards the number of users in the Invoice. 2. Requirements and Restrictions: Licensee agrees to abide by the following requirements and restrictions:

a. The number of Monthly Active Users (“MAU”) of the App cannot exceed the number selected at the time of purchase and displayed on your email confirmation receipt and/or invoice. MAU is the number of unique users that have logged in or otherwise used the app in the last 30 days. If the App doesn’t have a way of monitoring use, Licensee may use “total downloads” as a metric instead.

b. The Font may not be redistributed with the App’s source code by Licensee.

c. Licensee may not install the Font in the operating system the App runs on.

d. Licensee may not embed the Font in an App that enables an end user to create custom typesetting with the Font (e.g. Canva for iOS, etc.).

e. The Font may be embedded by Licensee in reports that the App saves or exports, provided that the reports are not sold for profit.

f. The Font may only be embedded by Licensee into Apps that it owns or controls.

When the Licensee uses the Font provided by Hoodzpah, Inc. under this EULA, and the Font file is distributed as part of an Ebook, the Font must be embedded within an archive file format that obscures the original data using compression, encryption, or obfuscation. Valid archive formats that meet these criteria include, but are not limited to, PDF, EPUB 2.01, EPUB 3, and KF8.

c. The Font must take the form of a non-executable file that is interpreted by e-reading software or e-reading devices.

d. The Font may not be installed in the operating system on which the Ebook runs.

3. Provision to Third Parties: The Licensee may provide the Font to a publisher, producer, designer or other third party for temporary use while they work on behalf of the Licensee. These third parties are temporarily treated as licensed users and count towards the number of users in the Invoice.
